CMA clears Microsoft's deal with Inflection AI

But still calls it a merger Share The Competition and Markets Authority (CMA) has cleared Microsoft's arrangements with Inflection AI, including the hiring of former Inflection employees. However, the regulator has officially designated the transaction as a "merger," signalling future scrutiny of similar deals. The decision follows a phase 1 inquiry, which the CMA launched in July to gather information about the transaction. Central to the probe was whether Microsoft's hiring of Inflection staff constituted a merger, even though the company itself was not acquired. Another concern was whether this transaction could harm competition in the rapidly changing AI sector, particularly in the development of foundation models (FMs) and chatbots. Last year, Microsoft took part in a $1.3 billion funding round for Inflection. Then, in March, it hired Inflection's co-founder, Mustafa Suleyman, along with several key team members, in a deal reportedly worth $650 million. Microsoft also secured a license to use Inflection's technology. Founded in 2022 as a consumer AI company, Inflection has shifted its focus since the Microsoft agreement, pivoting to sell enterprise AI software to businesses. This shift drew attention from regulators and legal experts, as the deal closely resembles an acquisition, yet sidestepped formal acquisition regulations. In April, the CMA sought public input on whether partnerships like Microsoft's deal with Inflection should be subject to the UK's merger control rules. Both Microsoft and Inflection have said that the agreement was a non-acquisition partnership, with Inflection continuing to operate as an independent entity. After completing its phase 1 investigation, the CMA has now concluded that the deal does qualify as a merger, citing the transfer of almost all of Inflection's team, including its founders, and the establishment of commercial agreements such as a non-exclusive licensing deal for Inflection's intellectual property. The CMA highlighted the importance of expertise in the development of FMs and chatbots, noting that acquiring a team with relevant know-how, even without further assets, can fall under merger control jurisdiction.
